These Terms and Conditions govern your access to and use of Qolor Pay. By registering an account, integrating our APIs, or utilizing our Dynamic QR services, you agree to comply with and be bound by these terms.

1. Nature of Service & Operational Disclaimer
Qolor Pay is strictly a software-as-a-service (SaaS) and technical intermediary offering dynamic UPI QR code generation and automated payment validation.
- Zero Fund Storage: Qolor Pay is not a payment aggregator, escrow agent, wallet provider, or bank. We never receive, collect, hold, or pool merchant or user funds.
- Direct P2P Settlement: All customer payments are processed directly over UPI rails from the customer’s bank account to the merchant’s linked account.
- Verification Role: Our backend facilitates automated status validation (via UTR matching and webhooks) purely as a data synchronization tool.
Merchant Liability: Because Qolor Pay holds zero funds, we bear no liability for chargebacks, failed settlements at the banking level, reversed transfers, or dispute resolutions between merchants and their buyers.

2. Account Registration & KYC Obligations
To use Qolor Pay, merchants must maintain active account verification:
- Accurate Details: You must supply authentic registration details, including your mobile number, email address, website/app domain, PAN Card, and Aadhaar information.
- Identity Verification: We reserve the right to audit, suspend, or terminate access if provided identity or business verification documents are forged, invalid, or expired.
- Credential Security: You are solely responsible for maintaining the confidentiality of your account credentials, secret keys, and API tokens.

3. Acceptable Use & Prohibited Activities
Merchants agree to use our dynamic QR technology solely for legal and compliant business operations. You expressly agree not to use Qolor Pay for:
- Any activity violating local, state, or national laws, regulations, or UPI guidelines.
- Unauthorized gambling platforms, Ponzi/MLM schemes, fraudulent scams, phishing sites, or prohibited digital goods.
- Routing payments for unregistered third parties or masking illegal financial flows.
- Attempting to reverse engineer, stress test, or disrupt our dynamic QR generation engine or backend webhook endpoints.
Violation of this section will result in immediate termination of API access without prior notice or subscription refund.

4. Pricing, Subscriptions & Zero Transaction Fees
- Flat Pricing: Qolor Pay provides its services on a flat subscription basis and charges 0% transaction commission fees.
- Subscription Validity: API access and QR generation are enabled during active paid subscription periods. Non-renewal will result in automated suspension of verification endpoints.
- No Payment Reversals: Subscription fees paid for accessing Qolor Pay software services are strictly non-refundable once activated.
5. Service Availability & Limitation of Liability
While we strive for 99.9% uptime, Qolor Pay services are provided on an "AS IS" and "AS AVAILABLE" basis:
- We are not liable for technical downtime or delays originating from National Payments Corporation of India (NPCI) UPI servers, merchant hosting failures, or banking network outages.
- In no event shall Qolor Pay be liable for any indirect, incidental, punitive, or consequential damages resulting from transaction processing errors between payer and payee banks.
